Binns Fencing is back in Binns family ownership

Adam Binns, grandson of John Binns who founded Binns fencing in 1937, has acquired the majority shareholding of Binns fencing limited.

The change follows a successful period where the company was part of the Zaun Group. It is considered a strong move for both companies and will allow both to focus on individual growth and development in the coming years. Whilst both businesses have benefitted and flourished since 2015 when Zaun acquired the majority stake in Binns, there has always been some trepidation from the market about the link and possible conflict. The new structure will remove these questions and allow each business to develop relationships further with customers and suppliers.

The change see’s Alastair Henman remain as a minority investment shareholder with Chris Hackett taking a minority stake in the business as well.

Adam Binns commented on the move “The acquisition comes on the back of good performance for our business, with the company in a strong position for both the immediate and longer-term future. Personally, I am delighted to see the company my grandfather started back in the ownership of the Binns family and think we should all be excited about the future of the company.

We will be looking to continue drive the company forward whilst maintaining the values and principles that have been ingrained in the business over the last 86 years”.

The purchase has been planned for some time and was supported by a number of specialists to ensure a smooth transition.

Claritas Tax, a leading provider of tax advisory services, played a pivotal role in ensuring a seamless transition of ownership, optimizing financial structures, and providing valuable insights to maximize the acquisition’s potential.

Debrets Private Finance, a renowned corporate advisory firm, provided invaluable strategic counsel throughout the acquisition process. Their expertise in market analysis and business planning was instrumental in shaping the structure of the acquisition.

Gateley Legal, a distinguished legal advisory firm, meticulously navigated the legal complexities of the acquisition. Their extensive experience in mergers and acquisitions, combined with a deep understanding of regulations, ensured a smooth and legally sound transaction.

Adam Binns added “all of the above parties have provided fantastic support and guidance throughout. Even simple transactions can be full of hurdles and trip hazards regarding legal or tax implications and their advice has ensured all of these were considered an overcome.
